1. Agreement to Terms

These Terms of Service (“Terms,” “Agreement,” or “TOS”) constitute a binding legal agreement between you (“User,” “Customer,” “you,” or “your”) and iWezo, LLC, operating as MyNextJournal (“Company,” “we,” “us,” “our,” or “MyNextJournal”). By accessing, browsing, and using the MyNextJournal website (mynextjournal.com, the “Site”) and services, including the custom journal creation platform and ordering services (the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any other policies or guidelines we publish. If you do not agree with any part of these Terms, you must immediately cease using the Site and Services.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old to use MyNextJournal and enter into this Agreement. If you are between 13 and 18 years old, you must have the permission and supervision of a parent or legal guardian to use our Services. We do not knowingly offer Services to anyone under 13 years of age. By using MyNextJournal, you represent and warrant that you are at least 18 years old (or 13+ with parental consent) and have the legal capacity to enter into this Agreement.

To use certain features of MyNextJournal, you may need to create an account. You agree to:

We reserve the right to terminate or suspend your account and access to MyNextJournal at any time, in our sole discretion, with or without cause and without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, unauthorized access attempts, or violation of applicable law.

3. Use License and Restrictions

3.1 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use MyNextJournal for your personal, non-commercial purposes in accordance with these Terms. This license does not include any right to:

You agree not to: (a) violate laws or third-party rights; (b) upload unlawful, infringing, or abusive content; (c) attempt unauthorized access; (d) interfere with or degrade the Services; (e) use automated means (including bots, crawlers, scrapers) to access, query, or copy any part of the Services or data; (f) harvest data or content to build, train, or improve any AI/ML model; (g) circumvent rate limits, authentication, or technical controls; (h) register, use, or traffic in domain names, social handles, app names, or business names that include or are confusingly similar to “MyNextJournal,” “iWezo,” or the Marks; (i) engage in spoofing, phishing, or social engineering; (j) collect personal data in violation of law or these Terms; or (k) use the Services in violation of any applicable law or regulation.

3.3 Enforcement

We have the right (but not the obligation) to investigate violations of these Terms and to remove or disable any content that violates these Terms. We may also cooperate with law enforcement authorities to prosecute violations of the law.

3.4 Beta Features and Confidentiality

From time to time we may invite you to access pre-release or beta features. You agree to keep all non-public information about such features confidential and not to disclose performance or benchmarking results without our prior written consent.

4. Your Content and Intellectual Property

4.1 Your Content Ownership

You retain ownership of all text, images, designs, and other content (“Your Content”) that you create, upload, or provide through MyNextJournal. You represent and warrant that:

By providing Your Content to MyNextJournal, you grant us a limited, non-exclusive, royalty-free license to: (a) process, reproduce, and prepare derivative works of Your Content as necessary to provide the Services; (b) display Your Content on your customized journal preview; (c) share Your Content with our printing partner (LULU.com) solely for the purpose of manufacturing and fulfilling your order; and (d) retain anonymized versions of Your Content for backup and disaster recovery purposes. Nothing in these Terms is intended to waive any non-waivable moral rights you may hold under applicable law in Your Content.

4.3 Company Content

All content provided by MyNextJournal, including our Site design, layout, graphics, text, images, software, and other materials (“Company Content”), are the exclusive property of iWezo, LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of Company Content without our express written consent. Templates, layouts, design elements, sample content, and tools provided within the Services are Company Content. You acquire no rights in such elements beyond the limited license necessary to create and purchase journals through the Services; you may not extract, reuse, or resell these elements outside the Services.

4.4 User-Generated Content

We do not claim ownership of user-generated content, but we reserve the right to use anonymized or aggregated versions of Your Content for analytics, product improvement, and marketing purposes, provided such use does not identify you personally.

4.5 Feedback

If you submit ideas, suggestions, or recommendations regarding the Services (“Feedback”), you grant iWezo, LLC a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, create derivative works from, distribute, and otherwise exploit the Feedback for any purpose without restriction or attribution.

5. Ordering and Payment

5.1 Order Placement

When you place an order through MyNextJournal, you are making an offer to purchase a custom journal. We have the right to accept or reject your order in our sole discretion. Order confirmation is sent to your registered email address. No order is final until we send you a confirmation email.

5.2 Pricing and Payment

5.3 Stripe Payment Processing

Payment processing is handled securely through Stripe. Your payment information is subject to Stripe’s Privacy Policy and Terms of Service. We do not store complete payment card information on our servers. For questions about payment processing, billing, or payment method, please contact support@mynextjournal.com or Stripe directly at support.stripe.com.

5.4 Billing Disputes

If you identify an unauthorized or erroneous charge, you must notify us within 60 days of the charge date. We will investigate all billing disputes in good faith. Contact us at support@mynextjournal.com with details of the dispute. You agree not to initiate chargebacks or payment reversals without first notifying us and allowing a reasonable opportunity to resolve the issue in good faith.

6. Shipping and Fulfillment

6.1 Third-Party Fulfillment

MyNextJournal partners with LULU.com (the “Print Partner”) to manufacture and fulfill your journal orders. By placing an order, you acknowledge and agree that:

Production timelines and delays are dependent on third-party providers, including LULU.com and shipping carriers. MyNextJournal does not guarantee specific delivery dates. Factors beyond our control that may affect delivery include: LULU.com manufacturing delays; carrier delays; customs delays; weather, natural disasters, or other force majeure events; high order volume or seasonal demand; and supply chain disruptions. We provide estimated delivery timeframes, but these are not guarantees. We are not liable for delays caused by third-party providers or factors beyond our reasonable control.

6.3 Order Tracking

You will receive tracking information via email once your order is processed and shipped. Tracking is provided by the shipping carrier and is subject to their accuracy.

6.4 Risk of Loss

Risk of loss for your order transfers to you upon delivery to the address provided. We are not responsible for loss or damage after delivery to the shipping address you specified.

7. Refunds and Returns

We reserve the right to reject refund requests at our sole discretion, including but not limited to:

7.5 Refund Processing Timeline and Method

Approved refunds will be processed to your original payment method within 5–7 business days of approval. Your financial institution may take additional time to post the credit to your account. Processing fees charged by payment processors (such as Stripe) are generally non-refundable and will be deducted from the refund amount. For orders being processed (payment captured but not yet shipped), the 5% retention fee is non-refundable and is retained to cover: (a) payment processing expenses and reversal costs; (b) manufacturing preparation costs incurred with LULU.com; and (c) order cancellation fees charged by our fulfillment partners.

7.6 No Right of Return

Due to the custom and made-to-order nature of journals, we do not accept returns or exchanges for personal preference, cosmetic reasons, or design dissatisfaction. The only exceptions are: (a) defective or damaged products due to manufacturing defects, and (b) non-delivered orders, both of which will be handled at our sole discretion and may result in replacement rather than refund.

8. Limitation of Liability

8.1 Disclaimer of Warranties

MYNEXTJOURNAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

8.2 Limitation of Damages

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NEITHER MYNEXTJOURNAL NOR IWEZO, LLC SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO:

8.3 Cap on Liability

IN NO EVENT SHALL MYNEXTJOURNAL’S OR IWEZO, LLC’S TOTAL LIABILITY FOR ANY CLAIM EXCEED THE TOTAL AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE THAT GAVE RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

8.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of implied warranties or consequential damages. To the extent such exclusions are permitted under applicable law, the limitations in this section shall apply to the maximum extent permitted.

9. Indemnification

You agree to indemnify, defend, and hold harmless MyNextJournal, iWezo, LLC, and their officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) Your Content or use of Your Content; (d) your infringement of any intellectual property right or third-party right; (e) any illegal or fraudulent activity conducted through your account; or (f) disputes between you and third parties.

10. Intellectual Property Rights

10.1 Trademarks and Brand Use

“MyNextJournal,” the MyNextJournal logos and trade dress, “iWezo,” and the domain name mynextjournal.com (collectively, the “Marks”) are trademarks and/or trade dress of iWezo, LLC. You may not use the Marks (including in metatags, keywords, domain names, social handles, app names, advertising, or search terms) without our prior written consent. Any goodwill arising from your use of the Marks inures solely to iWezo, LLC.

10.2 Copyright

All content on MyNextJournal, including text, graphics, logos, images, and software, is the property of iWezo, LLC or our licensors and is protected by U.S. and international copyright laws.

10.3 DMCA Notice (Designated Agent)

If you believe your copyright-protected work was used via the Services without authorization, send a notice to our DMCA Agent:

Your notice must include: (1) a physical or electronic signature of the owner or authorized agent; (2) identification of the copyrighted work; (3) identification of the material claimed to be infringing and its location; (4) contact information; (5) a statement of good-faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act.

10.4 Third-Party and Open-Source Components

The Services may include third-party and open-source components licensed under their own terms. Nothing in these Terms grants you rights to such components beyond the applicable licenses.

11. Third-Party Links and Services

11.1 External Links

MyNextJournal may contain links to third-party websites, including Stripe (payment processing) and LULU.com (order fulfillment). We are not responsible for the content, accuracy, security, or practices of external websites. Your use of third-party sites is governed by their respective terms and privacy policies.

11.2 Third-Party Services

Our Services depend on third-party providers, including Stripe and LULU.com. We are not liable for: (a) outages or failures of third-party services; (b) changes to third-party services or terms; (c) data losses or breaches at third-party services; or (d) delays in payment processing or order fulfillment by third parties.

12. Modifications to the Terms and Services

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Site. Your continued use of MyNextJournal following modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

12.2 Changes to Services

We reserve the right to modify, suspend, or discontinue any feature of MyNextJournal at any time, with or without notice. We are not liable for any changes or discontinuation of Services.

13. Governing Law and Jurisdiction

These Terms and your use of MyNextJournal shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. You acknowledge that iWezo, LLC, the operator of MyNextJournal, is incorporated in Delaware but conducts business in Texas. For any dispute not subject to the binding arbitration clause below, you agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Austin, Texas for the resolution of any dispute.

14. Arbitration and Dispute Resolution

14.1 Agreement to Arbitrate and Governing Law of Arbitration

BY USING MYNEXTJOURNAL, YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION IN AUSTIN, TEXAS, RATHER THAN IN COURT, EXCEPT FOR CERTAIN EXCLUDED CLAIMS AS DESCRIBED BELOW. The arbitration agreement itself, including its formation, validity, enforceability, and interpretation, shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (“FAA”). To the extent the FAA does not apply or preempt state law, this arbitration agreement shall be governed by the laws of the State of Texas, without regard to its conflict-of-law principles.

14.2 Scope of Arbitration

This arbitration agreement covers any and all claims, disputes, or controversies between you and iWezo, LLC (operating as MyNextJournal), including but not limited to contract, tort, statutory, consumer protection, product liability, warranty, and refund/payment disputes.

14.3 Excluded Claims

This arbitration agreement does not apply to: (a) claims for temporary, preliminary, or injunctive relief; (b) claims within small-claims court jurisdiction; (c) proceedings to enforce or protect intellectual property or domain name rights (including UDRP/URS or analogous procedures); or (d) claims by MyNextJournal for payment collection.

14.4 Arbitration Procedure and Location

Arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) according to the JAMS Streamlined Arbitration Rules & Procedures (or if JAMS cannot serve, by AAA – American Arbitration Association). The arbitration shall be conducted by a single neutral arbitrator. All arbitration shall take place in Austin, Travis County, Texas. The arbitration may be conducted in person, by telephone, or by video conference at the arbitrator’s discretion, provided that any in-person proceedings shall occur in Austin, Texas unless both parties agree otherwise.

14.5 Costs and Fees

Consumer disputes: iWezo, LLC will pay all filing, administration, and arbitrator fees required under the applicable JAMS or AAA Consumer Rules. You are responsible only for the standard consumer filing fee set by those rules. Each party bears its own attorneys’ fees and costs unless a statute requires a different allocation or the arbitrator awards otherwise. If your claim is $5,000 or less and you obtain an award greater than iWezo, LLC’s last written settlement offer made at least 30 days before the merits hearing, iWezo, LLC will pay your reasonable attorneys’ fees and costs as determined by the arbitrator.

14.6 Arbitration Limitations

14.7 Right to Opt Out

You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms. To opt out, you must send written notice to support@mynextjournal.com with “Arbitration Opt-Out” in the subject line, including your name, email address, and the date you created your account. If you opt out, all other terms of this Agreement will continue to apply, but you will be able to assert claims against iWezo, LLC in court.

14.8 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. You waive any right to participate in class action litigation or class action arbitration against iWezo, LLC or MyNextJournal. If a court determines that the class action waiver is unenforceable, the entire arbitration agreement is void, and all claims shall be decided in court.

14.9 Severability of Arbitration Clause

If any portion of this arbitration agreement is found to be unenforceable, that unenforceable portion shall be severed and the remainder shall remain in full force and effect. Exception: If the class action waiver (Section 14.8) is found unenforceable, the entire arbitration agreement shall be void.

14.10 Preliminary Dispute Resolution and Negotiation

Before initiating arbitration or litigation, you agree to notify iWezo, LLC in writing at support@mynextjournal.com of any dispute. Your notice must include: (a) your name and contact information; (b) a description of the dispute; (c) the relief you seek; and (d) your proposed resolution. You agree to attempt to resolve the dispute through good-faith negotiation for at least 30 days from the date you send written notice. If the dispute cannot be resolved through negotiation within 30 days, either party may proceed with arbitration. This pre-arbitration negotiation requirement is a condition precedent to arbitration or litigation.

14.11 Survival

This arbitration agreement shall survive the termination of your account, the closure of your account, or any other discontinuation of your relationship with iWezo, LLC.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in effect to the maximum extent permitted by law.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies or guidelines published on the Site, constitute the entire agreement between you and MyNextJournal regarding your use of the Services. These Terms supersede all prior agreements, understandings, and negotiations, whether written or oral. If there is any conflict between these Terms and any other agreement you have with MyNextJournal, these Terms shall control.

17. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Our rights under these Terms are not limited unless we provide written consent to a waiver.

We may send notices to you by email to your registered email address, by physical mail to the address you provided during account registration, or through the Services. Notices shall be effective upon receipt (for email) or three (3) business days after mailing (for physical mail). You hereby consent to receive legal notices and service of process by email in connection with these Terms and your use of the Services.

19. Electronic Communications Consent and Disclosures

19.1 Consent to Electronic Communications

You affirmatively consent to conduct business with iWezo, LLC/MyNextJournal using electronic communications. This includes, but is not limited to: emails, electronic notices/disclosures, in-app notifications, transactional emails (order confirmations, shipping updates, refund notices), marketing communications (opt-out available), legal notices, Terms updates, policy changes, and service of legal process and arbitration notices via email.

19.2 How to Withdraw Consent

You may withdraw consent to electronic communications by sending a written request to support@mynextjournal.com with “Withdraw E-Communication Consent” in the subject line. However, withdrawing consent may prevent us from providing the Services, processing orders, or maintaining your account. Transactional communications and legal notices may continue electronically as required by law.

19.3 Technical Requirements

You must maintain a valid email address on file, use a device capable of receiving email, and have sufficient storage space for email messages and attachments. iWezo, LLC is not responsible if you fail to receive communications due to delivery failures, spam filters, or device settings.

20. Changes to Contact Information and Ownership

20.1 Changes to Contact Information

iWezo, LLC may change its contact email or physical address upon notice to you. Such changes will be posted on the MyNextJournal website and in these Terms. Your continued use of the Services following notice of a change constitutes acceptance of the new contact information.

20.2 Business Changes and Ownership

These Terms remain binding and enforceable in the event of: (a) a change in iWezo, LLC’s ownership or control; (b) a merger, acquisition, or sale of substantially all assets; (c) a change in management or key personnel; or (d) any other business reorganization. In such events, your rights and obligations under these Terms shall remain in effect and shall be binding on any successor entity or assignee. You agree that iWezo, LLC may assign its rights and obligations under these Terms to any successor entity without your consent.

20.3 Survival of Terms

Your acceptance of these Terms survives: (a) any changes to iWezo, LLC’s operations or structure; (b) termination or closure of your account; (c) changes to company ownership; (d) discontinuation of particular Services or features; and (e) any other business changes.

21. Export and International Compliance

MyNextJournal is operated from the United States. We comply with all applicable export laws and regulations. You may not access the Services if you are located in, or a national of, any country subject to U.S. trade embargoes or are on the U.S. Treasury Department’s list of Specially Designated Nationals.

22. Force Majeure

iWezo, LLC shall not be liable for any failure or delay in performance under these Terms caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, epidemics, pandemics, natural disasters, cyber attacks, or government actions. Force majeure events affecting third-party providers (LULU.com, Stripe, shipping carriers) are also excluded from our liability.
